We welcome you to use the services of AGRIVI d.o.o. and its affiliated companies AGRIVI Ltd. and AGRIVI S.R.L. ("AGRIVI", "we", "us", "our"). Services governed by these Terms of Use is the use of AGRIVI website located at www.agrivi.com ("Service").

These Terms of Use (collectively, the "Terms") set forth legally binding terms and conditions which are applicable to your use of the Service, however, accessed and/or used, whether via personal computers, mobile devices or otherwise. Please be reminded that the Terms constitute an agreement between you and AGRIVI and define the rights and responsibilities that you have with respect to the Service. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AGRIVI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, LICENSORS OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

Indemnity

You agree to defend, indemnify, and hold harmless AGRIVI and its officers, directors, employees and agents, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

Entire Agreement

These Terms constitute the entire agreement between you and AGRIVI with respect to the Service and supersede all prior or contemporaneous understandings and agreements, whether written or oral, with respect to the Service.

Waiver and Severability

AGRIVI's failure to exercise any rights under these Terms shall not constitute or be deemed a waiver or forfeiture of such rights or a waiver or forfeiture of such rights in the future. In the event that any provision of these Terms is held to be invalid or unenforceable by a court or tribunal of competent jurisdiction for any reason, the remaining provisions of these Terms will remain in full force and effect.

Governing Law and Resolution of Disputes

The laws of the Republic of Croatia, without regard to or application of its conflict of law provisions, will govern these Terms and any claim, cause of action, or dispute arising out of or relating to these Terms will be brought solely in the courts of Zagreb.

Assignment

AGRIVI may assign or delegate these Terms, in whole or in part, to any person or entity at any time with or without your consent. You may not assign or delegate any rights or obligations under these Terms without our prior written consent, and any unauthorized assignment or delegation by you is void.

Termination

We may terminate or suspend your access to all or part of the Service, without notice, for any conduct that we, in our sole discretion, believe is in violation of any applicable law or these Terms, or is harmful to the interests of another user, a third-party, or AGRIVI.
